CRE Due Diligence Framework

Due diligence (DD) is the structured, sequential process of transforming unverified seller data into a defensible, institutional-grade underwriting model. It is the phase where investment theses are validated and "deal-killer" risks are identified and mitigated. It begins after an opportunity has already been sourced and selected for pursuit; use CRE Deal Sourcing and Origination for the upstream pipeline-creation layer.

Also known as: Acquisition Lifecycle, Due Diligence, Due Diligence Checklist, PSA to Closing

Updated

DD should also prepare the ownership handoff. The verified acquisition model, diligence adjustments, open risks, lender requirements, and closing data become the baseline for the first asset-management budget and actuals review. Use Acquisition-to-Asset-Management Handoff for the post-close bridge from acquisition underwriting to AM control.

The Rely seed-round source is a useful signal that multifamily diligence workflows are becoming more data-room-native. The platform claim is not a substitute for diligence judgment, but it highlights where acquisition teams are trying to convert leases, financial statements, rent rolls, utility contracts, vendor contracts, deposits, concessions, and work orders into structured, source-linked audit trails before closing. See Source: Rely Multifamily Diligence Platform Seed Round 2026-05-19.

The Acquisition Timeline

4. Pre-Closing15 – 30 DaysLender Commitment; Clear-to-Close
5. Closing1 DayOwnership Transfer

Master Due Diligence Pillars

1. Financial & Operating Diligence

  • T-12 Audit: Forensic review of the Trailing 12-Month operating statement against bank deposits.
  • Rent Roll Verification: Reconciling the rent roll to actual lease files, verifying rents, expirations, and delinquencies.
  • Expense Normalization: Adjusting for self-management, one-time items, and resetting property taxes/insurance to market.

2. Physical & Engineering Diligence

  • PCA (Property Condition Assessment): ASTM E2018 audit of building systems, structure, and site.
  • Asset-Specific Focus:
    • Industrial: Roof core cuts, slab load capacity, and dock equipment.
    • Multifamily: 100% unit walks, renovation scope verification, and life safety.

For multifamily acquisitions, the physical diligence output should feed Multifamily CapEx Budgeting so immediate repairs, defensive system CapEx, environmental / regulatory work, replacement reserves, contingency, and carry are separated from voluntary value-add renovation capital.

Use Multifamily Risk Assessment Framework when diligence findings need to be translated into model changes, mitigation requirements, purchase-agreement protections, and go / no-go thresholds.

The Counselors of Real Estate 2026 framework adds a cross-asset control: risk identification is incomplete until each issue has a source, a property- or market-specific measure, a responsible owner, a model treatment, and a decision response. That makes insurance, climate, infrastructure, lease rollover, loan maturity, CapEx, and operating risk comparable in the IC record without treating qualitative expert commentary as a substitute for quotes, inspections, utility evidence, or lender terms. See Source: Counselors of Real Estate 2026 Top Ten Issues Affecting Real Estate.

For office-specific engineering and lease diligence, see Office Due Diligence Framework.

3. Environmental Diligence (CERCLA Defense)

  • Phase I ESA: Historical records and site reconnaissance to identify RECs (Recognized Environmental Conditions).
  • Phase II ESA: Invasive sampling (soil/groundwater) triggered by Phase I RECs. Timing risk: 4–8 weeks.
  • Asbestos/LBP: Mandatory for pre-1980/pre-1978 construction.

4. Legal, Title & Survey

  • Title Commitment: Reviewing Schedule B-II exceptions for easements, liens, or restrictive covenants (REAs/CC&Rs).
  • ALTA Survey: Physical verification of boundaries, encroachments, and flood zone status.
  • Zoning Report: Verification of conforming use, parking ratios, and "grandfathered" status.

AI-assisted title workflows can speed repetitive data gathering, document retrieval, name variation checks, and index pulls, but they do not replace legal interpretation, ownership-defect resolution, fraud review, or final insurability judgment. County-level property records are fragmented enough that automation should be treated as a workflow layer with escalation triggers, not as a closing authority. See Source: ConnectCRE AI Assists with Title Workflows, But Humans Remain Essential.

The federal sentencing of former Dallas-area house-flipping operator Charles Carrier provides an internal, case-specific control example: DOJ says investors were promised first-position liens even when deeds of trust were not recorded, overlapping liens were issued, and encumbrances were concealed. For any loan or investment whose return depends on collateral priority, independently reconcile executed instruments to recorder data, the title commitment, intervening encumbrances, transfers, and release authority. This case does not establish conduct by the franchisor or the prevalence of this risk. See Source: The Real Deal HomeVestors Franchisee Charles Carrier Fraud Sentencing 2026.

5. Lease & Tenant Diligence

  • Tenant Estoppels: Written statements from tenants confirming lease terms and the absence of landlord defaults. Institutional standard: 75–90% of GLA required.
  • SNDA Agreements: Subordination, Non-Disturbance, and Attornment agreements required by lenders for major tenants.

The "Day One" Critical Path

To prevent timeline failure, the following "long-lead" items must be ordered within the first 72 hours of PSA execution:

  1. Phase I ESA (2–4 weeks)
  2. ALTA Land Title Survey (3–4 weeks)
  3. Property Condition Report (PCA/PCR) (2–3 weeks)
  4. Zoning Compliance Report (1–2 weeks)

Go / No-Go Decision Matrix

CategoryGreen (Proceed)Red (Terminate or Reprice)
EnvironmentalClean Phase I; manageable de minimisActive contamination; no PLL insurance available
PhysicalNormal wear; budget-aligned CapExStructural failure; immediate roof/slab replacement needed
FinancialT-12 matches bank statementsMaterial income inflation; undisclosed liabilities
LeasingEstoppels match abstractsMaterial discrepancies; anchor tenant default

Post-Closing Obligations

  • Tenant Notification: Formal letters introducing new ownership and payment instructions.
  • Proration True-Ups: Final adjustments for taxes and utilities within 90–120 days.
  • PM Transition: Full transfer of vendor contracts, life safety protocols, and tenant files.

Handoff Package

The DD process should close with a package that asset management can operate from, not only a closing checklist. Minimum handoff items include the final IC-approved model, assumption log, rent roll and T12 / T3 support, diligence adjustments, opening budget bridge, lender covenant calendar, tax and insurance support, CapEx schedule, closing prorations, open post-close obligations, and the day-one risk register.

The core control question is whether every material diligence finding has a destination: budget line, CapEx line, reserve, covenant tracker, PM instruction, legal condition, or risk-register trigger.

2026-10-08 — Manga Hotel Group latest entity to snap up discounted downtown Chicago hotel

Manga Hotel Group reportedly bought the former Royal Sonesta River North, now Hotel 505 River North, at 505 North State Street, Chicago, for $21M with 261 keys, with Toor rebranding planned. The hotel occupies 17 floors within a 36-story mixed-use building; the whole building is not described as 17 stories. The article’s approximately $85000/key conflicts with $21M divided by 261, approximately $80460/key; do not import the reported ratio as a verified unit price. Service Properties Trust’s $55M October 2019 acquisition is historical. Other Sonesta and Wade hotel references are distinct assets, dates and transaction cohorts. Retain the existing Hotel 505 native identity and source fields. A lower acquisition basis can support a thesis only after renovation, branding fees, debt, operating recovery and exit assumptions are tested.

2026-09-10 — Ten Legal Due Diligence Priorities for Hotel Investors

Hotel attorney Tim Franzen presents practitioner diligence questions about franchise rights and property improvement plans, operator fees and termination, environmental review, entitlements, ground leases, labor obligations, liquor permits, property taxes, closing and third-party consents. These are research and transaction-review questions, not new universal legal requirements or an individual legal conclusion. Compare acquisition price, renovation capital, brand or operator constraints, debt, staffing and stabilized cash flow under downside occupancy and rate scenarios. A caption identifies the 196-key Renaissance Milwaukee West in Wauwatosa, Wisconsin, and Hunter Hotel Advisors brokerage context; it does not establish an unreported sale price or executed contract terms.

2026-09-23 — Texas Platting A-to-Z: What Every Developer Needs to Know

This Colliers Engineering sponsored article describes Texas platting as a technical diligence process. Claimed employee volumes, 1000 annual plats and three-to-four or six-to-eight-month schedules are practitioner experience without verified cohorts, not guaranteed approval timing. The primary Houston development-regulations page confirms that the city has no zoning but checks subdivision plats under Chapter 42 and site plans for parking, landscaping, setbacks and access within Houston and its ETJ. Lack of zoning does not mean lack of development regulation. Do not generalize Houston’s jurisdiction to every Harris County or Texas site, or treat linked unreviewed ordinance PDFs as reviewed legal authority. Confirm parcel jurisdiction, easements, infrastructure and local application requirements for each investment.

2026-08-28 — Feds Raid North Texas-Based Contractor As Part Of HUD Investigation

The article reports company-confirmed HUD record and phone collection at Cadence McShane offices in Austin, Plano and San Antonio after allegations involving an unidentified Converse housing project. Allegations are not findings of guilt or proven overcharges. Preserve the company’s denial and its account of the DOJ position as attributed, not independently confirmed prosecutorial findings. Alleged 10% and 17% profit figures and a $7M threshold do not establish a universal HUD rule or verified project margin. The September 1 correction about Opportunity Home court records is retained. The caption identifies an Austin office at 1221 South MoPac Expressway; it does not identify the disputed project. Separate Flynn Live Oak and Anthology Highland Park developments are contextual, not collateral for the alleged project.

This pre-event article forecast September 9–10 Republican conference attendance of 20000 and more than 5000 Dallas hotel rooms. The original forecast is historical as of October 9; do not convert it into observed attendance, occupied room nights or spending. January 2024 Arlington football occupancy, ADR and RevPAR differ in date, geography and cohort from July 2026 DFW figures and a planned Dallas conference. Unreviewed STR originals are not admitted as a new comparable market series. Reported convention-center cost and economic impact are project and demand forecasts, not realized investor returns. Evaluate displacement, hotel supply, rate, event duration, operating costs and ordinary demand before concluding durable hotel alpha.
