Ground Leases and Leasehold Interests
Identify the interest and the party before comparing property values, income or loans. Record the land, improvements, lease, borrower and pledged rights separately. Use this concept with CRE Valuation Methodologies, CRE Capital Stack and Debt Structuring and CRE Due Diligence Framework.

Property Interests and Evidence
The OCC's selected Ground Leases passage distinguishes these interests and calls for the appropriate interest in the collateral appraisal:
| Interest in the OCC description | Distinction to establish |
|---|---|
| Fee-simple | Ownership unencumbered by another interest |
| Leased-fee | The landlord's ownership interest with use and occupancy conveyed by a lease |
| Leasehold | The tenant's use and occupancy rights conveyed by the landlord |
OCC ground-lease passage and review. This is selected guidance for bank supervision, not a title opinion. The retained handbook is version 2.0, March 2022, with the cover's March 2025 reputation-risk removal notice. The official bytes were rechecked October 19, 2026.
The following sections are a curator's research framework. Establish actual rights from deeds, leases, amendments, options, security documents and the applicable jurisdiction. A building or housing label does not establish the underlying land interest. Use Manufactured Housing and Community Interests and Condominium and Cooperative Housing Interests for their separate home, unit, share and community questions.
Party, Cash and Collateral Records
| Party or position | Records to reconcile | Cash and exposure to identify |
|---|---|---|
| Landowner or purchaser of the leased-fee interest | Land title, ground lease, rent notices, obligations, liens and actual end-of-term rights | Ground-rent receipts, collection risk, retained costs, debt and remaining obligations |
| Ground tenant or purchaser of the leasehold interest | Lease, improvements, operating leases, approvals, transfer rights and financing documents | Operating collections, ground-rent payments, other expenses, capital work, debt and owner cash |
| Lender | Borrower, pledged interest, lien priority, guarantees, notices, cure rights and remedies | Contractual payments, funding conditions and supported recovery scenarios |
The OCC passage deducts ground rent in its described debt service coverage calculation. In the curator worksheet, trace each payment once through Property Cash Flow Reconciliation. Keep the landowner's receipt separate from the tenant's payment. If the same investor holds both positions, reconcile internal transfers before presenting combined cash.
Identify who funds taxes, insurance, maintenance, repairs and redevelopment from actual documents. A financing label does not establish those allocations. Keep property cash, borrower debt service and investor distributions distinct. A price for land, improvements or one contractual interest does not establish the value of every other interest.
Term, Remedies and Residual Value
Record commencement, expiration, renewal and purchase options, exercise deadlines, rent resets, transfer conditions and the party that controls each decision. Separate an enforceable right, an unexercised option, a required consent and a proposed amendment. Establish how any reset is determined before projecting it.
The OCC discussion addresses subordination and notice/cure provisions from a leasehold lender's perspective. Review the actual priority, notices, cure periods and remedies for each party. A protection for one position can change another party's exposure. No standard lease term, rent escalation, loan offer or universal legal right is assumed here.
Tie the cash-flow horizon and exit to the verified interest. Establish what can be sold or retained, what happens to improvements, and which obligations remain. Treat an unverified renewal, amendment or sale beyond existing rights as a scenario. Do not infer a linear decline in market value or a fixed terminal value from remaining term alone.
Comparable Interests and Investor Conclusions
Use Shared Equity Housing and Resale Restrictions when the research involves program appraisals, resale controls or a supported home purchase. Establish the actual transfer and valuation conditions before applying a general leasehold comparison.
Fannie Mae's selected Selling Guide appraisal topic, dated June 4, 2025, calls for lease terms and their effects on value and marketability. It requires similar leasehold comparables when sufficient closed sales exist. When they do not, it permits specified alternatives, including fee-simple sales if necessary, with explanation and appropriate adjustments for market reaction. Keep that program scope. For the curator comparison, record each comparable's interest, remaining rights, rent obligations, date, condition and transaction status. Support adjustments with relevant evidence through CRE Valuation Methodologies. Neither a generic leasehold discount nor an absolute prohibition on fee-simple comparables replaces that work.
Compare a landowner investment, leasehold operating investment, redevelopment and lending position as separate hypotheses. State the investor's price or basis, objectives, horizon, liquidity, risk tolerance and feasible work. Test each against the same contracts, property condition, demand and financing evidence through Portfolio Construction and Risk Budgeting.
Stress weaker operating collections, a higher contractual rent reset, repair costs, delayed consent, tighter refinancing and a weaker exit together. Use Sensitivity and Scenario Analysis to preserve their assumptions. Record counterevidence and the conditions that would reverse the conclusion, such as inadequate cash coverage, a changed title finding, a denied consent or unsupported achieved-sale evidence. A favorable result for one party does not establish suitability for another.
