Office Equity Waterfall and Promote Structures
Office lease-up and repositioning plans can expose investors to capital timing and execution risk. As of 2026-10-07, this page presents contract-design questions and a hypothetical example, not verified market-wide office JV norms. See Source: ILPA Waterfall Scope Review 2026.
Also known as: Office GP/LP Splits, Office Promote Structure, Office Waterfall
Updated
Use this page when the question is how office promote tiers should respond to below-the-line capital, extended hold periods, or a basis that only works if the sponsor executes a multi-year repositioning plan. Use Equity Waterfall and Promote Structures for the cross-asset framework and GP Fee Structures for the fee side of the sponsor economics.
Why Office Waterfalls Are Different
An office business plan may require review of:
- Higher front-loaded TI / LC requirements
- Longer periods of muted distributions
- More reliance on successful lease-up before promote tiers are reached
- Greater sensitivity to exit timing and retention outcomes
- Clawback or escrow provisions if early promote may exceed the final contractual entitlement
These risks motivate diligence on catch-up timing and delayed realization; they do not demonstrate that office JVs generally use a particular structure.
Illustrative Office Waterfall Parameters
The inherited ranges below are working assumptions, not verified 2026 market benchmarks. Specify partner capital return, dated cash flows, compounding, fees, catch-up and hurdle transitions in the agreement before using the table as a model.
| Tier | Hurdle (IRR) | LP Share | GP Share | Notes |
|---|---|---|---|---|
| Tier 1 | 8% – 10% | 100% | 0% | Preferred return and capital return |
| Tier 2 | 10% – 15% | 80% | 20% | First promote tier |
| Tier 3 | 15% – 20% | 70% | 30% | Second promote tier |
| Tier 4 | 20%+ | 60% – 50% | 40% – 50% | Residual upside tier |
An office JV can contract for both IRR and EMx tests. Their definitions and thresholds must be explicit; this review does not establish their prevalence.
Office-Specific Negotiating Points
- Test how a longer lease-up window affects preferred-return accrual and available cash using Equity Waterfall and Promote Structures; track additional capital calls, returned capital and pref payments separately.
- Compare full and slow catch-up under Equity Waterfall and Promote Structures; available cash may not clear either tranche. A slower catch-up need not reduce final carry once fully cleared.
- Specify clawback calculation, timing and security where interim promote may exceed final entitlement. ILPA's fund-level escrow recommendation is not a mandatory office JV percentage.
- Evaluate GP cash commitment against leasing execution and capital planning; ILPA recommends a substantial cash interest without a universal fixed percentage.
Office Worked Example
These inherited inputs describe a hypothetical teaching scenario, not a documented transaction. The cash-flow ledger and signed waterfall needed to reproduce partner allocations were not supplied.
- 200,000 RSF Class A suburban office in DFW
- $18M purchase price with bridge debt
- $14M total equity requirement
- 10% GP co-invest
- 3-year repositioning and lease-up plan
- 2-year stabilized hold
- Year 5 exit
Arithmetic Review
| Metric | Reviewed interpretation |
|---|---|
| Assumed total equity distributions | $32.86M; inherited input |
| Project IRR | Inherited ~18.5% is not reproducible without dated project cash flows |
| Equity multiple | $32.86M / $14M ≈ 2.3471x, assuming the same investor population, full paid-in capital and no recycling adjustments |
| Inherited GP/LP allocations | ~$5.90M + ~$27.80M = ~$33.70M, exceeding the stated total by $0.84M |
If the $32.86M total and $5.90M GP amount were held fixed, balancing LP distributions would be $26.96M. If the total and $27.80M LP amount were held fixed, the GP balance would be $5.06M. These are conditional identities, not accepted allocations. Resolve the ledger and contractual tiers before using either. GP and LP IRRs require their own dated contributions and distributions; project IRR does not establish partner returns.
