Asset management
Office Disposition and Exit Strategy
Office disposition is more narrative-sensitive than most other CRE exits. The seller usually has to decide whether the asset is best marketed as durable income, leasing upside, conversion optionality, or distress resolution. Lease-file quality, TI / LC burden, debt flexibility, and conversion feasibility often matter as much as in-place NOI.

Use this page when the question is how to maximize office net proceeds while preserving credibility in the market. Use CRE Disposition and Exit Strategy for the cross-asset alternatives framework, and use Office Tax and After-Tax Cash Flow when the exit decision is being shaped by depreciation recapture, 1031 timing, or Texas after-tax effects.
Office BOV and Sell-Side Pro Forma
The broker opinion of value should triangulate:
- direct capitalization on stabilized NOI
- discounted cash flow with lease-up and reversion
- comparable sales adjusted for tenancy, quality, and submarket position
The sell-side pro forma should be explicit about:
- mark-to-market rent upside
- renewal probability and tenant-credit concentration
- TI / LC assumptions
- below-the-line capital treatment
- any recent capital work that reduces near-term buyer spend
Office TI / LC assumptions are often the most contested line in the model. Buyers will usually re-underwrite renewals more conservatively and assign higher new-lease costs than the seller does.
Office Sell-Side Process
The sell-side process should be staged rather than improvised.
| Stage | Seller objective | Typical outputs |
|---|---|---|
| Pre-marketing | Build the narrative and clean the data room | OM, VDR, talking points, payoff analysis |
| Initial marketing | Generate broad interest without overcommitting | teasers, NDAs, OM distribution |
| First round | Compare price and buyer quality | non-binding IOIs, bid book |
| Best & final | Force buyer commitments | site tours, PSA markups, proof of funds |
| Negotiation and close | Defend value and prevent re-trades | executed PSA, estoppels, title cures, closing statement |
Typical office dispositions can take longer than simpler asset classes because tenant coordination, debt payoff, and lease abstraction often take time to verify.
Office OM and Data Room
The OM should lead with the story a buyer will believe, not with the seller's wish list.
- show both in-place and stabilized NOI
- explain the rent-roll story clearly
- disclose known risks with a mitigation plan
- tie every narrative claim back to source documents in the data room
Core office sell-side materials usually include:
- lease files, amendments, side letters, and guaranties
- rent roll and T-12 financials
- debt documents and payoff mechanics
- service contracts, title, survey, environmental, and PCA materials
- capital history and any recent lobby / common-area or spec-suite work
Office Buyer Framing
Office buyers usually fall into a few recognizable frames:
- core / income
- value-add / repositioning
- exchange / tax-motivated
- conversion / redevelopment
- distress / note purchase
The seller should emphasize the specific buyer logic that supports the highest net and most executable path.
Office Pre-Sale Preparation
The strongest office exits are usually prepared 12 to 24 months before listing.
- stabilize occupancy
- renew obvious expiring leases where possible
- clean the P&L
- complete deferred maintenance
- reduce noise in trailing R&M and CapEx
- assemble complete lease, title, environmental, and debt files
Coconut Grove Case: Gross Price Versus Exit Proceeds
Source: Coconut Grove Office Flipped For $15M Gain After One Year reports a resale at 3250 Mary Street. A headline gross price difference does not establish seller net proceeds or investor profit. Verify closing status and dates, transaction costs, debt payoff, capital spending, interim cash flows and taxes before calculating returns through CRE Return Metrics and KPIs. Test buyer operating and redevelopment assumptions through Office Valuation Methodologies; a reported short hold does not establish a repeatable exit timetable. Compare selling now with hold and refinance alternatives through Hold, Sell, and Refinance Decision Framework.
